We act for clients in a range of commercial situations, including in relation to franchise agreements, licensing agreements, service agreements and manufacturing | supply and distribution agreements.

We advise on the start-up of businesses, including the initial considerations and steps clients should bear in mind before deciding on their business structure and finalizing their business plans.
We act for clients in establishing and reorganizing their business entities | corporate structures. We assist clients with registering sole proprietorships, creating and registering partnerships, incorporating corporations, establishing trusts and designing corporate structures that meet their goals. We re-organize partnerships, corporations and corporate structures as our clients’ businesses grow, as new investors or partners become involved, as succession plans develop and in relation to tax-driven re-organizations.
We offer clients a full range of corporate services to with their ongoing governance requirements and we advise clients regarding corporate governance and the policies that businesses and boards of directors should have in place to minimize their liabilities and ensure that best practice standards are met.
Start-ups are businesses much like many small to medium-sized businesses and owner-managed enterprises. Start-ups need to establish the entity under which they are going to operate, draft their business plan, raise funds to finance their business, start operations, deal with suppliers and service providers, raise more funds, obtain and grow their clients, hire and manage employees, and otherwise oversee all aspects of their businesses.
What's special about start-ups, however, is that start-ups need to be able to innovate, adapt and revise their business quickly (often on short notice) while planning for the rapid growth of their businesses. We enjoy working with start-ups and provide counsel to them at all stages of the business cycle.
We understand the cash flow issues start-ups face, so we offer special billing arrangements to certain start-ups based on the billing model often used in Silicon Valley.

INSOLVENCY & Restructuring
We are experienced in advising debtors, creditors, receivers and trustees in a range of insolvency situations. We have experience helping debtor businesses successfully restructure their operations; we have acted for secured creditors to help protect their security and maximize their realization on secured property; and we have counseled receivers and trustees on security issues and in insolvency proceedings. We have experience acting for clients in insolvency proceedings under both the Bankruptcy and Insolvency Act (Canada) and the Companies’ Creditors Arrangement Act (Canada).
